Acceptable Use Policy (AUP)

1. Introduction

This AUP does not apply to Client-hosted software licensed under the Software Licence Agreement.

This Acceptable Use Policy ("AUP") forms part of the Uniform Terms and Conditions for any Master Services Agreement (MSA), Licensing Agreement (LA), Support Agreement (SA), Statements of Work (SOW), and Order Forms (OF) entered into between Auton8 Automation Pty Ltd (“AUTON8”) and the Client.

Where the Client subscribes to the Auton8 Service on a SaaS basis, this AUP must be read in conjunction with the Statement of Work issued for onboarding, configuration, or professional services.

3. Licence Grant and Scope

Subject to the payment of applicable Fees and compliance with these Terms, AUTON8 grants the Client a limited, non-exclusive, non-transferable, non-sublicensable (except as expressly permitted under these Terms), revocable licence (“Licence”) to access and use the Service solely as permitted by the Agreement.

This includes access to the hosted, multi-tenant Auton8 cloud platform and associated SaaS modules, as described in the Order Form, for the Term of the subscription.

This Acceptable Use Policy (AUP) applies to all AUTON8 Software, Cloud Services, Ancillary Software, other Services, Documentation, and any other materials provided by AUTON8 (“AUTON8 Materials”).

This AUP does not confer any specific service levels or support entitlements. Support services, where applicable, are governed by the Master Services Agreement (MSA) or a separate Service Level Agreement (SLA).

4. Permitted Use and Conduct

4.1 Intellectual Property Misuse

Copy, reproduce, modify, enhance, adapt, or create derivative works of any part of the AUTON8 Materials, except as explicitly permitted under the Agreement for internal business use and subject to the limitations outlined in the MSA (Clause 13).

Permit any third party to reproduce, modify, enhance, or adapt the AUTON8 Materials without AUTON8's prior written consent.

Reverse engineer, decompile, disassemble, or attempt to derive the source code of the AUTON8 Materials, except as permitted by law.

Make the AUTON8 Materials available to unauthorized third parties, use them for the benefit of anyone other than the Client, or exceed any usage limitations set in an applicable Order Form or Documentation.

Sell, resell, rent, lease, lend, sublicense, transfer, publish, disclose, display, assign, distribute, or otherwise make available the AUTON8 Materials, including on a membership, subscription, service bureau, or time-sharing basis.

Use any knowledge, technology, or confidential information obtained from the AUTON8 Materials to create or develop any competing service, software, or technology with similar functionality.

4.2 Platform Security and Access Integrity

Interfere with, disrupt, degrade, or attempt to gain unauthorized access to the AUTON8 Materials, related systems, networks, or data.

Introduce, transmit, or distribute malicious software, including viruses, ransomware, malware, trojans, worms, or email bombs, into AUTON8's or any third party's systems.

Circumvent, disable, or interfere with user authentication, security measures, or any access control mechanism of the Service, including attempting to gain unauthorized access to networks, accounts, or systems.

Engage in security breaches, network disruptions, or unauthorized access to data or systems, including but not limited to network sniffing, denial-of-service attacks, packet spoofing, or forged routing information.

Use automated scripts, bots, or programs to overload, interfere with, or disrupt the normal functioning of the Service or degrade the experience of other users.

4.3 Unlawful or Abusive Conduct

Transmit, publish, or distribute any content that is defamatory, offensive, abusive, indecent, harassing, threatening, fraudulent, or otherwise unlawful.

Use the Service in any way that damages, interferes with, or disrupts the supply, integrity, performance, or security of the Service or the experience of other users.

Use the AUTON8 Materials to send spam, unsolicited communications, phishing attempts, or any other form of fraudulent or bulk electronic communication.

Share or allow unauthorized access to account credentials, passwords, or authentication tokens issued to the Client or its Users.

4.4 High-Risk Use and Fair Use Controls

The Service is not designed for use in environments requiring fail-safe performance, including but not limited to life support systems, nuclear facilities, air traffic control, or medical equipment. The Client must not use, or permit the use of, the AUTON8 Materials in any such application.

The Service is intended for reasonable and proportionate use based on the number of subscribed users and modules. AUTON8 reserves the right to monitor usage and may throttle access or require an upgrade where usage exceeds commercially reasonable thresholds or negatively impacts system performance.

In the SaaS delivery model, AUTON8 is responsible for securing and maintaining the hosted infrastructure, but not for the accuracy, legality, or regulatory compliance of any data uploaded, transmitted, or processed by the Client or its Users.

For data protection responsibilities, refer to the AUTON8 Privacy Policy and the applicable Software Licence Agreement.

5. Enforcement and Termination

AUTON8 may suspend access to the Service (in whole or part) without notice where necessary to maintain platform security, mitigate abuse, or comply with legal requests. Suspension for these reasons does not relieve the Client of its payment obligations.

AUTON8 reserves the right to monitor compliance with this Acceptable Use Policy and investigate suspected violations. If, at our sole discretion, we determine that the Service is being used in violation of these Terms or for any unlawful purpose, we may suspend the Licence and Account immediately.

If the breach involves a third party, subcontractor, or end user acting on behalf of the Client, the Client shall be deemed responsible for the breach unless otherwise agreed in writing.

Termination without notice shall only apply where required by law, in accordance with MSA Clause 19. Otherwise, written notice of termination will be provided.

AUTON8 shall not be liable for any losses, costs, or damages incurred due to enforcement actions taken in good faith under this Acceptable Use Policy.
